TERMS AND CONDITIONS

These terms and conditions represent the entirety of the agreement between Lucy Ridges (“Photographer”/“I”/“me”) and the client (“Client”/“you”). Any variation is only applicable when agreed in advance and in writing.

  1. APPLICATION OF TERMS

    1. These terms and conditions will apply to all assignments undertaken by the Photographer for the Client and to all Usage Licences or extended and/or additional Usage Licences relating to such Assignments; and

    2. prevail over any inconsistent terms or conditions contained, or referred to, in Client’s purchase order, confirmation of order, acceptance of Estimate, or specification or other document supplied by Client, or implied by law, trade custom, practice or course of dealing.

  2. DEFINITIONS

    1. “Photographer” means Lucy Ridges.

    2. “Client” is the party commissioning the Photographer and includes the Client’s affiliates, assignees, and successors in title.

    3. “Advertiser” means any client of the Client for whose benefit the use of the Photographs is commissioned.

    4. “Estimate/Quote” means any email or other document electronic or otherwise created by the Photographer and setting out the Fee and expenses for any Assignment along with information as to Usage Licences.

    5. “Fee” means the Photographer’s fees as set out in the Estimate/Quote.

    6. “Licensed Images” means the still and/or moving images selected from the Photographs and as specified in the Estimate/Quote to be licensed for use in accordance with these Terms.

    7. “Photographs” means all photographic material, still or moving, created by the Photographer.

    8. “Usage Licence” means the licence to use the Licensed Images as set out in clauses 3 and 10 below.

    9. "B.U.R" means Base Usage Rate and is the figure by reference to which additional usage fees to the usage fees stated on the Photographer's original Estimate as accepted by the Client are established.

  3. ESTIMATES / QUOTE

    1. Estimates/Quotes provided are based upon the information provided by the Client.

    2. The Estimate/Quote given is a reasonable assessment of the final fee. However, it is liable to change if elements of the brief or shoot are changed.

    3. Estimates/Quotes shall specify the number and characteristics of Licensed Images which the Client shall be entitled to use and the media and territories in and durations for which they may be used and these shall be the terms of the Usage Licence unless otherwise agreed in writing. The Client is responsible for checking the Estimate/Quote to ensure that it provides for all requirements including but not limited to post production, high resolution files, the correct usage licences and all technical specifications for the Licensed Images.

  4. CONDUCT OF THE SHOOT

    1. During the shoot I will take account of the Client’s reasonable instructions in respect of the shoot brief.

    2. If the Client is not present during the shoot then I request that the Client is available over Whatsapp for images to be sent to the Client for approval. If the Client does not respond to messages within a reasonable amount of time then my interpretation of the brief shall be deemed acceptable to the Client.

  5. SHOT LIST AND WORKING BRIEF

    1. A shot list in its entirety must be agreed by both Parties, the Photographer and the Client.

    2. Where extra and/or unforeseen expenses or time are incurred by the Photographer as a result of alterations to the original brief by the Client, or otherwise at their request, the Client shall be liable to pay such extra expenses or fees as outlined below.

    3. Any extra requests made either on the day of the shoot or after the shot list and quote have been agreed will be subject to an charge of £85 per hour of extra studio time.

  6. PROPS + STYLING

    1. Product styling is undertaken by me unless otherwise agreed, and there is a small selection of props and backgrounds at the studio for general use. If extra props are needed, costs will be paid by the Client and will be discussed with the Client ahead of time.

    2. The Client is welcome to supply the props along with the products for use at the shoot or alternatively I am able to both to source and purchase props (with final amounts added to the invoice). Prop sourcing time is classed as ‘production time’ and will be charged at £35 an hour. An estimate of costs referring to this will be set out in the Estimate/Quote.

  7. DELIVERY

    1. Following completion of the shoot I will deliver the Photographs to the Client via a private, secure online gallery such as Dropbox. I will endeavour to deliver the Photographs on or by the estimated date of delivery set out in the booking form.

    2. My standard editing turnaround time is 7 days from the last day of the shoot. However I will always endeavour to work with the Client towards any deadlines if applicable, but this must be requested at the time of booking and can not be guaranteed.

    3. Subject to any previously agreed deadlines for post-production work, I will carry out any such work required as soon as reasonably practicable but cannot guarantee urgent turnaround.

  8. CANCELLATION

    1. If a confirmed shoot is cancelled or postponed for reasons outside of my control; including the late arrival of products or props necessary for the shoot to take place, I reserve the right to charge a cancellation or postponement fee at the following rates together with all incurred expenses:

      1. cancellation on less than 24 hours’ notice - full estimated shoot rate

      2. cancellation on between 1 and 7 working days’ notice - £45 + all expenses.

  9. COPYRIGHT & USE

    1. The entire copyright and all similar rights throughout the world in all the Photographs created by the Photographer shall be retained by the Photographer at all times.

    2. Unless otherwise agreed, the default usage license covers the right of the Client to use the photographs for business website use, social media use and promotion, online marketing campaigns and small scale print marketing.

    3. The Client is responsible for informing any Advertisers of the extent and limitations of all Usage Licences.

    4. Upon payment in full of both the Fee and expenses for an Assignment the Photographer grants to the Client the right to use the Licensed Images on the express terms of the Usage Licence.

    5. Provided that the Client has paid in full all invoices relating to the Assignment the period of use specified in the Usage Licence commences from the date of first use or 6 months after the shoot date, whichever is sooner (unless otherwise agreed in writing).

    6. Usage of the Licensed Images is limited to use of those images provided by the Photographer and the Client shall not manipulate any Licensed Image or make use of only part of any individual image without the prior written permission of the Photographer.

    7. The Client may only sub-license the right to use the Licensed Images to the disclosed Advertiser as agreed and strictly on the terms of the Usage Licence.

    8. Neither the Client nor the Advertiser may use the Licensed Images in relation to any additional products or services not specified in the Usage Licence.

    9. Any licence to use the Licensed Images shall automatically be revoked if payment in full of both the Fee and expenses for an Assignment is not received by the due date specified in the relevant invoices or if the Client or Advertiser becomes insolvent or is put into receivership.

  10. DISPLAY

    1. The Photographer retains the right to display any Licensed Image to generally promote her business in advertising, brochures, magazine articles, websites, social media, sample albums etc.

  11. PAYMENT

    1. Payment terms are strictly net 7 days from the date the invoice is issued, unless agreed in advance and in writing. If payment is not made in accordance with the above then a fee of £15 will be made for each email reminder, duplicate invoice, or any other correspondence or phone call involved in the pursuance of the debt.

    2. Payment by BACS is preferred and bank details will be provided on the invoice. I also accept payment by Paypal and, if used, payments should be sent to lucivictoria@hotmail.com. In the event that Paypal deducts a fee, the fee must be paid in its entirety by the Client.

  12. FILE RETENTION

    1. Trash files (which are files that have not been selected to edit) are stored for 1 month, and the selected RAW image files for 6 months.

    2. Final retouched JPEGs are stored for 1 year in a saved and shared, secure online gallery, to which you will have access for 1 year. Please download the images to your own computer or your own Dropbox folder within this time period.

    3. TIFF files are not supplied as standard and must be requested at time of booking and must be stated on the contract / statement of work.

  13. PRODUCT RETURN AND STORAGE

    1. Non-consumable products will be returned after the edit is completed, to a return address supplied by the Client. Consumables will be disposed of.

    2. Nothing may be stored at the studio for longer than 14 days after the shoot. I will endeavour to remind you if something has been left at the studio, but if a return address has not been supplied, items will be disposed of / recycled / donated.

  14. CLIENT CONFIDENTIALITY

    1. I will keep confidential and will not disclose to any third parties or make use of information communicated to me in confidence for the purposes of the photography, save as may be reasonably necessary to enable me to carry out my obligations in relation to the commission.
